Terms of Service

1. Acceptance
By downloading, installing, or using codraft (the “Service”), you agree to these Terms of Service (the “Terms”). If you do not agree, please do not use the Service. The Service is provided by Fractal Labs LLC (“Fractal Labs”, “we”, “us”, “our”), a Delaware limited liability company.
2. About the Service
codraft is a native macOS application for AI-collaborative document editing. The documents you create or open in codraft live as plain files on your Mac. codraft connects to a third-party AI coding agent that you choose and configure (for example, Claude Code, Cursor, GitHub Copilot, or Codex) and helps that agent read and edit your documents on your machine. We do not host, transmit, or store the contents of your documents.
3. Eligibility and Account
You must be at least 13 years old to use the Service. To use Pro features you must create an account by signing in through our supported OAuth provider. You are responsible for the security of the account you use to sign in and for all activity that occurs under your codraft account. Please notify us promptly at support@codraft.app if you suspect any unauthorized access.
4. Subscriptions, Trials, and Cancellation
codraft Pro is offered as a paid subscription, billed monthly or annually as shown at checkout. New paid subscriptions include a 3-day free trial. If you cancel during the trial you will not be charged. After the trial, your subscription will automatically renew at the price displayed at the time of purchase until you cancel.
You can cancel at any time from the account portal; cancellation takes effect at the end of your current billing period. Except where required by law, fees are non-refundable and we do not pro-rate partial periods.
5. Price Changes
We may change subscription prices from time to time. We will give you at least 30 days advance notice by email before any price change takes effect on your subscription, and you may cancel before the next renewal if you do not want to continue at the new price.
6. Your Content
You retain all rights in the documents and other content you create, open, or edit using codraft (“Your Content”). We do not claim ownership of Your Content and we do not access or store it. Because Your Content stays on your device, you are solely responsible for backing it up.
7. Third-Party AI Agents
codraft is designed to work with third-party AI agents that you configure and authenticate separately (for example, Claude Code by Anthropic, Cursor, GitHub Copilot by GitHub, or OpenAI Codex). Your use of those agents is governed by the terms and privacy policies of their respective providers. We are not responsible for their availability, output, or fees, and we do not charge a separate token or usage fee on top of what they bill you.
8. Telemetry and Privacy
codraft sends a small amount of operational data to our servers so we can understand how the application is used in aggregate, diagnose errors and crashes, and improve reliability. This includes product analytics events (which features and screens you open, which agent integration is configured, how often you start an agent run, approximate latencies, and whether the run succeeded), error and crash reports, and standard request metadata such as application and OS version. It does not include the contents of your documents, your prompts, your agent's output, your file names, or your file paths.

9. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose;
- attempt to reverse-engineer, decompile, or extract source code from codraft, except to the extent applicable law expressly permits;
- interfere with or disrupt the Service, our servers, or the update or authentication systems;
- resell, sublicense, or rent the Service without our written permission; or
- use the Service to infringe the intellectual property or privacy rights of others.
10. Updates
codraft is delivered with automatic updates so you receive security fixes and improvements. By using the Service you consent to the installation of these updates. You can disable automatic updates in the application settings, but doing so may leave you on an outdated and unsupported version.
11. Service Availability
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted operation. Because codraft runs locally, you can continue to read and edit your documents while offline. Account-related features (sign-in, subscription management, and software updates) require connectivity to our servers and may be temporarily unavailable.
12. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated suggestions and edits may contain errors, omissions, or content that is inaccurate, biased, or otherwise unsuitable. You are responsible for reviewing AI output before relying on it.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Fractal Labs LLC, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.
Our total cumulative liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD 100).
14. Indemnification
You agree to indemnify and hold harmless Fractal Labs LLC and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your misuse of the Service, or your infringement of any third party rights.
15. Termination
You may stop using the Service at any time and cancel any subscription from the account portal. We may suspend or terminate your access to the Service if you materially violate these Terms or if we are required to do so by law. Sections that by their nature should survive termination (including ownership of content, disclaimers, limitations of liability, and indemnification) will continue in effect.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms here and update the “Last updated” date above, and we will try to notify you by email. Your continued use of the Service after the update constitutes acceptance of the revised Terms.
17. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute that is not subject to mandatory arbitration under applicable consumer protection laws.
